1. Agreement to Terms

By accessing or using PeakIntent's website and services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our services.

2. Description of Services

PeakIntent provides lead generation services connecting service professionals with potential customers. Our services include delivering qualified leads, providing access to our professional portal, and related support services. We offer both shared and exclusive lead options based on your subscription preferences.

3. Account Registration

To use our services, you must:

  • Be at least 18 years old
  • Provide accurate, complete, and current information
  • Maintain the security of your account credentials
  • Promptly update any changes to your information
  • Accept responsibility for all activities under your account

We reserve the right to suspend or terminate accounts that violate these terms or engage in fraudulent activity.

4. Lead Services Terms

Our lead generation services are subject to the following terms:

  • Lead Quality: We strive to deliver qualified leads but do not guarantee conversion or customer acquisition.
  • Exclusive Leads: Exclusive leads are sent only to your business within your designated service area and category.
  • Shared Leads: Shared leads may be sent to multiple businesses within the same service area.
  • Lead Delivery: Leads are delivered via SMS, email, or through our portal as configured in your account.
  • Response Time: We recommend responding to leads within 5 minutes for best results.

5. Payment Terms

Payment for our services is governed by the following:

  • Prices are based on your selected service area and lead type
  • Payment is required in advance or according to your billing agreement
  • All fees are non-refundable unless otherwise specified
  • We reserve the right to change pricing with 30 days notice
  • Failed payments may result in service suspension

6. Lead Dispute Policy

You may dispute a lead under the following conditions:

  • The lead contains invalid or incorrect contact information
  • The lead is outside your designated service area
  • The lead is for a service you do not offer
  • The lead is a duplicate of a previously delivered lead

Disputes must be submitted within 72 hours of lead delivery. We review all disputes and issue credits at our discretion for valid claims.

7. Acceptable Use

When using our services, you agree NOT to:

  • Violate any applicable laws or regulations
  • Provide false or misleading information
  • Attempt to access other users' accounts or data
  • Interfere with or disrupt our services
  • Use automated systems to access our services without permission
  • Resell or redistribute leads without authorization
  • Engage in harassment or abusive behavior toward leads

8. Intellectual Property

All content, features, and functionality of our services, including but not limited to text, graphics, logos, and software, are the exclusive property of PeakIntent and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.

9. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THAT OUR SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. WE DO NOT WARRANT ANY SPECIFIC RESULTS FROM THE USE OF OUR SERVICES, INCLUDING BUT NOT LIMITED TO LEAD CONVERSION RATES OR REVENUE GENERATION.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PEAKINTENT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY.

11. Indemnification

You agree to indemnify, defend, and hold harmless PeakIntent and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from your use of our services, your violation of these terms, or your violation of any rights of a third party.

12. Termination

Either party may terminate this agreement at any time with written notice. Upon termination, your access to our services will be discontinued. Any outstanding fees remain due and payable. Sections regarding intellectual property, disclaimer of warranties, limitation of liability, and indemnification survive termination.

13. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these terms shall be resolved in the state or federal courts located in Delaware.

14. Changes to Terms

We reserve the right to modify these Terms of Service at any time. We will provide notice of significant changes by posting the updated terms on our website and updating the "Last updated" date. Your continued use of our services after such changes constitutes acceptance of the new terms.
